Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the MSP Tax SMSF tax and compliance software and related services at msptax.com.au (the “Service”), operated by MSP Tax (“MSP Tax”, “we”, “us”). By accessing or using the Service you agree to these Terms.
1. Eligibility
The Service is intended for accounting, tax and SMSF administration professionals and their firms. You must be authorised to act for the funds and clients whose data you process, and be at least 18 years old.
2. The Service
MSP Tax provides software to help prepare SMSF financial statements, tax returns, transfer balance and other compliance reports, and to organise supporting documents. The Service may integrate with third party sources you connect (such as Google Drive) and with related products you authorise.
3. Your account
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorised use. You agree to provide accurate account information and keep it up to date.
4. Your data and ownership
As between you and MSP Tax, you retain all rights in the fund, client and document data you provide (“Customer Data”). You grant us a limited licence to host, process and use Customer Data solely to provide and support the Service. You are responsible for the accuracy, legality and quality of Customer Data and for having the necessary authority and consents to provide it to us.
5. Third party integrations
If you connect Google Drive, you authorise MSP Tax to read (read only) the documents necessary to provide the features you enable, as described in our Privacy Policy. Your use of third party services is also subject to their own terms. You can disconnect an integration at any time.
6. Acceptable use
You must not misuse the Service, including by attempting to gain unauthorised access, interfering with its operation, uploading malicious code, or using it to process data you are not authorised to handle. You must comply with all applicable laws.
7. No professional advice
MSP Tax is a software tool. It does not provide tax, financial, accounting, audit or legal advice, and outputs generated by the Service are not a substitute for the professional judgement of a qualified adviser. You remain responsible for reviewing, verifying and approving all calculations, statements, returns and lodgements prepared using the Service, and for ensuring compliance with the requirements of the Australian Taxation Office, the relevant regulators and applicable law.
8. Availability and warranties
We aim to keep the Service available and accurate but provide it on an “as is” and “as available” basis. To the extent permitted by law, we exclude all implied warranties. Nothing in these Terms excludes, restricts or modifies any consumer guarantee or right under the Australian Consumer Law that cannot lawfully be excluded.
9. Limitation of liability
To the maximum extent permitted by law, MSP Tax will not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue or data, arising from your use of the Service. Where liability cannot be excluded, our liability is limited, at our option, to supplying the Service again, or paying the cost of having it supplied again.
10. Fees
Where the Service is provided on a paid basis, fees and billing terms are as set out in your subscription or order. Unless stated otherwise, fees are exclusive of GST.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or where necessary to protect the Service or comply with law. On termination, your right to use the Service ceases; provisions that by their nature should survive will survive.
12. Changes to these Terms
We may update these Terms from time to time. We will revise the “Last updated” date above and, where appropriate, notify you within the Service. Continued use after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the nonexclusive jurisdiction of the courts of that State.
